Thank you for using the APIDEO API!

By using the APIDEO.com web sites and the APIDEO API (“Service”), all services of THE CODING MACHINE SARL (“THE CODING MACHINE”), you (“You”) are agreeing to be bound by the following terms and conditions (“Terms of Service”).

Violation of any of the terms below will result in the termination of your Account. You agree to use the Service at your own risk.

Service

1. Description of the service: APIDEO API allows you to “video connect” people directly on your web site. “Video connection” means exchange live video stream exchanges.

   Subject to limitations and conditions described in the Terms of Services, You may use APIDEO API to stream videos and manage events in conjunction with other information of your website.

   In order to obtain the API, You must create an APIDEO Account. After supplying Your account information, and agreeing to the Terms of Service, You will be issued an alphanumeric key assigned to You by APIDEO that is uniquely associated with your APIDEO Account and your website.

   You must download the APIDEO package (“Package”) last release which consists mainly in one JavaScript file and three flash files.

   Your website must import the APIDEO API using an HTML <script> tag that contains this key, as described in the API documentation. THE CODING MACHINE will block requests with an invalid key or invalid URL. APIDEO shall have sole and complete control over the data and format of the service. You may not obtain more than one key for using the Service with the free plan.

2. Modifications: APIDEO reserves the right to release subsequent versions of the API or the Package and to require You to obtain and use the most recent version.

General conditions

1. Signup: You must be 13 years or older to use this Service (and You must be a human). Accounts registered by automated methods are not permitted. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.

2. Login and account: Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as you'd like. You are responsible for maintaining the security of your account and password. THE CODING MACHINE cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others users under your account).

3. Appropriate use: You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). By way of example, and not as a limitation, You agree that:

   1. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, THE CODING MACHINE, or any other THE CODING MACHINE service.

   2. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by THE CODING MACHINE.

   3. We may, but have no obligation to, remove Live Video, Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

   4. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any THE CODING MACHINE customer, employee, member, or officer will result in immediate account termination.

   5. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve:

      1. transmissions over various networks;

      2. Hangs to conform and adapt to technical requirements of connecting networks or devices.

   6. You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.

   7. You must not transmit any worms or viruses or any code of a destructive nature.

Free plan

1. Account: One person or legal entity may not maintain more than one free account. Using a free account is authorized for non commercial purpose. A commercial entity can use a free account for testing purpose only.

2. Advertising: THE CODING MACHINE reserves the right to include advertising in the services provided to free accounts. You will be notice thirty (30) days prior the beginning of advertising and you may terminate your use of the Service. Once advertising begins, if you are using a free account you are not permitted to block ads provided by the service.

3. Brand features: For purposes of the Terms of Service, "Brand Features" shall be defined as the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each party, respectively, as secured by such party from time to time. THE CODING MACHINE grants to You a nontransferable, nonsublicenseable, nonexclusive license during the Term to display APIDEO’s Brand Features for the purpose of promoting or advertising that You use the Service. You hereby grant to THE CODING MACHINE a nontransferable, nonexclusive license during the Term to use Your Brand Features to advertise that You are using the Service.

   The video stream provided to You through the Service may contain the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of APIDEO and its partners. You may not delete or in any manner alter these trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You agree to maintain, and not to remove, modify, obscure or alter, any link or notices appearing on any image provided through the Service. You acknowledge and agree that these Legal Notices supplement the Terms of Service for the Service.

Paying plan

1. Paying plan: A valid credit card or a valid Paypal account is required for paying accounts. Free accounts are not required to provide any credit card number or Paypal account. If you initially sign up for paying plan, you will be billed monthly or annually depending of your choice and starting on the day your account was initially created.

   The Service is billed in advance on a monthly or annually basis and is non-refundable. There will be no refunds or credits for partial month or year of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

2. For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle. Downgrading or upgrading your Service may cause the loss of Content, features, or capacity of your Account. THE CODING MACHINE does not accept any liability for such loss.

   TAXES : All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only French taxes

Modifications to the Service and Prices

1. Modification to the service : THE CODING MACHINE reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

2. Prices of all Services: including but not limited to monthly or annually subscription plan fees to the Service, are subject to change upon thirty (30) days notice from us. Such notice may be provided at any time by posting the changes to the APIDEO Site (www.APIDEO.com) or the Service itself.

Cancellation, Suspension and Termination

1. Cancellation: You are solely responsible for properly canceling your account.

   All of your Content will be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is cancelled.

   If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again. You must remove the Service from your website.

2. Suspension: Abuse or excessively frequent requests to APIDEO via the API may result in the temporary or permanent suspension of your account's access to the API. THE CODING MACHINE, according to the account plan subscribed will determine abuse or excessive usage of the API. THE CODING MACHINE will make a reasonable attempt via email to warn the account owner prior to suspension.

3. Termination: THE CODING MACHINE, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other THE CODING MACHINE service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. THE CODING MACHINE reserves the right to refuse service to anyone for any reason at any time.

4. Effect of cancellation, suspension and termination: all license rights granted herein shall terminate and You shall immediately delete any package and files downloaded and APIDEO Brand Features. Neither party shall be liable to the other party for damages of any sort resulting solely from terminating the Terms of Service in accordance with its terms.

Copyright and Content Ownership

1. THE CODING MACHINE does not claim intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, by sharing APIDEO service publicly in your website, you agree to allow others to view and share your Content.

2. THE CODING MACHINE does not pre-screen Content or streamed Videos, but THE CODING MACHINE and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content or live video stream that is available via the Service.

3. The look and feel of the Service is copyright THE CODING MACHINE. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from THE CODING MACHINE.

4. The examples of code provided in the documentation, forum or blog can be freely used, adapted and distributed if there is no explicit copyright.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

1. Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.

2. THE CODING MACHINE and its Licensors make no warranty that:

   1. the service will meet your specific requirements,

   2. the service will be uninterrupted, timely, secure, or error-free,

   3. the results that may be obtained from the use of the service will be accurate or reliable,

   4. the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations,

   5. any errors in the Service will be corrected.

3. Any material downloaded or otherwise obtained through the service is done at your own discretion and risk an that you will be solely responsible for any damage to your computer system or loss of data that result from the download of any such material.

4. THE CODING MACHINE shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. THE CODING MACHINE uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

5. THE CODING MACHINE shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if THE CODING MACHINE has been advised of the possibility of such damages), resulting from:

   1. the use or the inability to use the service;

   2. the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service;

   3. unauthorized access to or alteration of your transmissions or data;

   4. statements or conduct of any third party on the service;

   5. or any other matter relating to the service.

6. No advice or information, whether oral or written, obtained by you from THE CODING MACHINE, APIDEO shall create any warranty not expressly stated in the Terms of Services.

THE CODING MACHINE reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Privacy Policy

We collect the e-mail addresses of those who communicate with us via e-mail, aggregate information on what pages consumers’ access or visit, and information volunteered by the consumer (such as survey information and/or site registrations). The information we collect is used to improve the content of our Web pages, API or functionalities developed by THE CODING MACHINE and the quality of our service, and is not shared with or sold to other organizations for commercial purposes, except to provide products or services you've requested, when we have your permission, or under the following circumstances:

• It is necessary to share information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of Terms of Service, or as otherwise required by law.

• We transfer information about you if THE CODING MACHINE or APIDEO is acquired by or merged with another company. In this event, APIDEO will notify you before information about you is transferred and becomes subject to a different privacy policy.

Information gathering and usage

When you register for APIDEO we ask for information such as your name, company name, email address, billing address, credit card information. Members who sign up for the free account are not required to enter a credit card number.

THE CODING MACHINE uses collected information for the following general purposes: products and services provision, billing, identification and authentication, services improvement, contact, and research.

Cookies

A cookie is a small amount of data, which often includes an anonymous unique identifier that is sent to your browser from a web site's computers and stored on your computer's hard drive.

Cookies are required to use the APIDEO service.

We use cookies to record current session information, but do not use permanent cookies. You are required to log-in to your APIDEO account after a certain period of time has elapsed to protect you against others accidentally accessing your account contents.

Data storage

THE CODING MACHINE uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run APIDEO. Although THE CODING MACHINE owns the code, databases, and all rights to the APIDEO API or application, you retain all rights to your data.

Disclosure

THE CODING MACHINE may disclose personally identifiable information under special circumstances, such as to comply with subpoenas or when your actions violate the Terms of Service.

Changes

THE CODING MACHINE may periodically update this policy. We will notify you about significant changes in the way we treat personal information by sending a notice to the primary email address specified in your APIDEO primary account holder account or by placing a prominent notice on our site.
